SIFELY DEVELOPER API TERMS OF USE

These Developer API Terms of Use ("Developer Terms") govern your access to and use of the Sifely Developer Platform, including the Developer Portal at developer.sifely.com, the Sifely API, and related documentation (collectively, the "Developer Services").

Relationship to General Terms. These Developer Terms supplement the Privacy Policy (together, the "General Terms"). The following provisions of the General Terms are incorporated by reference and apply to the Developer Services:

  • Dispute Resolution and Arbitration (Sections 15–17 of the Sifely Terms of Use), including binding arbitration, class action waiver, and jury trial waiver

  • Governing Law (California state law and the Federal Arbitration Act)

  • Electronic Communications Consent (Section 9 of the Sifely Terms of Use)

  • Unsupported Countries (Section 11 of the Sifely Terms of Use)

All other provisions specific to Sifely consumer products (hardware warranty, mobile application license, third-party voice assistant integration, etc.) do not apply to the Developer Services. In the event of a conflict between these Developer Terms and the General Terms, these Developer Terms shall control with respect to the Developer Services.

By accessing or using the Developer Services, you agree to be bound by these Developer Terms and the incorporated provisions of the General Terms. If you do not agree, do not access or use the Developer Services.

1. DEFINITIONS

"Account" means your Sifely account used to access the Developer Portal.

"API" means the Sifely application programming interface made available through the Developer Services.

"API Key" means the unique credential issued to you for authenticating API requests.

"Client ID" means the unique identifier assigned to your Account for API identification purposes.

"Developer Plan" means the free tier of the Developer Services, subject to the restrictions in Section 4.

"Devices" means smart lock devices associated with your Sifely Account.

"End Users" means individuals who interact with your applications or systems that integrate with the API.

"Subscription Plan" means the service tier you have selected (Developer, Starter, Pro, or Custom), as described in Section 3.

 

2. ACCOUNT AND ACCESS

2.1 Eligibility. To use the Developer Services, you must (a) have a registered Sifely account with a verified email address, and (b) be at least 18 years of age or the age of majority in your jurisdiction.

 

2.2 Account Binding. Each Developer Portal account is bound 1:1 to a single Sifely account. Devices configured in your Sifely account are automatically included in the Developer Services. You may not aggregate multiple Sifely accounts under a single Developer Portal account.

 

2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and API Key. You must notify Sifely promptly at cs@sifely.com if you suspect unauthorized access. You are liable for all activities conducted through your Account and API Key, whether or not authorized by you.

 

2.4 API Key Management. Your API Key is issued upon plan selection and remains active until regenerated. Regenerating an API Key immediately and permanently invalidates the prior key. You are responsible for updating your integrations accordingly. Sifely is not liable for service interruptions resulting from your failure to update a regenerated key.

 

3. SUBSCRIPTION PLANS AND BILLING

3.1 Plan Tiers. The Developer Services are offered under tiered Subscription Plans. Current plan details, including pricing, device limits, and API call quotas, are published on the Developer Portal and may be updated from time to time. All prices are in U.S. Dollars (USD).

3.2 Billing Dimensions. Paid Subscription Plans are billed monthly based on two dimensions:

  • (a) Account Devices: The peak number of Devices associated with your Account during the billing cycle, measured by daily snapshots.

  • (b) API Calls: The cumulative number of API requests processed during the billing cycle. Requests resulting in HTTP 2xx and 5xx responses are counted; requests resulting in HTTP 4xx responses are not counted.

 

3.3 Overage Charges. If your usage exceeds the limits of your Subscription Plan during a billing cycle:

  • (a) Starter and Pro Plans: Service continues uninterrupted. Overage is billed at the rates published on the Developer Portal, calculated at the end of each billing cycle. API call overage is rounded up to the nearest 1,000 calls.

  • (b) Developer Plan: Overage is not permitted. If either dimension exceeds the plan limit, API access is temporarily suspended until usage returns within limits. See Section 4.

 

3.4 Payment Processing. All payments are processed through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's Terms of Service. Sifely does not collect, store, or process your payment card information directly; all card data is handled exclusively by Stripe.

3.5 Billing Cycle. Paid plan billing cycles follow Stripe's subscription cycle, beginning on the date of subscription or upgrade and renewing monthly. The billing cycle resets upon upgrade.

3.6 Plan Changes.

  • (a) Upgrades take effect immediately. A new billing cycle begins on the upgrade date. Unused time from your prior plan is applied as a credit (not refunded in cash) against the charges for the new plan and any accrued overage from the prior cycle.

  • (b) Downgrades take effect at the end of the current billing cycle. No refund is issued for the remainder of the current cycle.

  • (c) Cancellation of a paid plan takes effect at the end of the current billing cycle. After cancellation, API access ceases (HTTP 402). Your account data is retained, and you may resubscribe at any time. No refund is issued for the current cycle.

     

3.7 Payment Failure. If a renewal payment fails, Sifely (via Stripe) will attempt to retry the charge for up to seven (7) days. During this period, your API access remains active. If payment is not resolved within seven (7) days, your subscription is automatically canceled and API access ceases.

3.8 Taxes. You are responsible for any applicable taxes, duties, or governmental assessments associated with your use of the Developer Services. Prices displayed on the Developer Portal are exclusive of taxes unless otherwise stated.

 

3.9 Price Changes. Sifely may modify pricing for Subscription Plans at any time. Price changes apply to new subscriptions and plan changes made after the effective date. Existing subscriptions continue at the previously agreed price until the subscription is modified, canceled, or renewed under new terms.

4. DEVELOPER PLAN — NON-COMMERCIAL USE RESTRICTION

4.1 Non-Commercial Use Only. The Developer Plan is provided exclusively for non-commercial purposes. By selecting the Developer Plan, you represent and warrant that your use of the API will be limited to personal learning, development testing, proof-of-concept evaluation, and private non-revenue-generating purposes.

 

4.2 Commercial Use Defined. "Commercial use" includes, without limitation:

  • (a) Integrating the API into any product or service for which you charge fees or generate revenue;

  • (b) Managing access to properties on behalf of paying guests, tenants, or customers;

  • (c) Using the API in connection with assets or operations that generate income;

  • (d) Providing API-derived functionality to third parties in exchange for compensation.

     

4.3 Enforcement. Sifely reserves the right to review usage patterns and, upon reasonable determination that the Developer Plan is being used for commercial purposes, require you to upgrade to a paid Subscription Plan or suspend your access. Sifely will provide reasonable notice before taking such action, except in cases of egregious or repeated violation.

5. ACCEPTABLE USE

5.1 Permitted Use. You may use the Developer Services to integrate Sifely smart lock capabilities into your applications and systems in accordance with the API documentation and these Developer Terms.

5.2 Prohibited Conduct. You shall not:

  • (a) Reverse engineer, decompile, or disassemble the API or any component of the Developer Services;

  • (b) Use the API to build a product or service that competes with Sifely;

  • (c) Exceed the rate limits or quotas of your Subscription Plan through technical circumvention;

  • (d) Share, transfer, or sublicense your API Key to any third party;

  • (e) Use the API in any manner that could damage, disable, or impair the Developer Services or interfere with other users' access;

  • (f) Misrepresent your identity or affiliation when using the Developer Services;

  • (g) Use the API to facilitate unauthorized physical access to any property;

  • (h) Circumvent, disable, or interfere with any security, authentication, or access-control features of the Developer Services.

     

5.3 Compliance. You are responsible for ensuring that your use of the Developer Services complies with all applicable laws, regulations, and industry standards, including those governing physical access control, data protection, and consumer safety.

6. API KEY AND CREDENTIALS

6.1 Confidentiality. Your API Key is a confidential credential. You must not embed API Keys in client-side code, public repositories, or any location accessible to unauthorized parties.

6.2 Compromise. If you believe your API Key has been compromised, you must immediately regenerate it through the Developer Portal. Sifely is not responsible for any unauthorized use of a compromised API Key.

6.3 Single Key Model. Each Account is issued a single active API Key at any time. Regenerating a new key immediately invalidates the previous key.

 

7. INTELLECTUAL PROPERTY

7.1 Sifely IP. Sifely retains all rights, title, and interest in the Developer Services, the API, documentation, and all related intellectual property. Nothing in these Developer Terms grants you any ownership interest in the Developer Services.

 

7.2 Your Applications. You retain ownership of applications you develop using the API. However, this ownership does not extend to the underlying API, Sifely technology, or any Sifely proprietary data transmitted through the API.

 

7.3 Feedback. If you provide feedback, suggestions, or ideas regarding the Developer Services, you grant Sifely a perpetual, irrevocable, royalty-free license to use such feedback without restriction or obligation to you.

8. DATA AND PRIVACY

8.1 Incorporation. Your use of the Developer Services is subject to the Sifely Privacy Policy and Part 2 of this document (Developer Platform Privacy Policy), which describe how we collect, use, and share information in connection with the Developer Services.

 

8.2 Device Data. When you use the API to access Device data (lock/unlock status, battery level, access logs, etc.), you acknowledge that this data originates from your Sifely Account and the Devices configured therein. You are responsible for how you store, process, and share this data in your applications.

 

8.3 End User Responsibility. If your application provides access to Sifely-connected Devices to End Users, you are solely responsible for:

  • (a) Providing adequate privacy notices to your End Users regarding data collection and use;

  • (b) Obtaining any required consents from End Users;

  • (c) Handling End User data in compliance with all applicable data protection laws.

8.4 No Sifely Liability for Your Data Practices. Sifely is not liable for any data breach, privacy violation, or regulatory non-compliance arising from your handling of data obtained through the API.

9. WEBHOOKS

9.1 Configuration. You may configure a Webhook URL through the Developer Portal to receive event notifications. By configuring a Webhook URL, you consent to Sifely transmitting Device event data to the specified endpoint.

 

9.2 Your Endpoint. You are responsible for the security, availability, and proper handling of your Webhook endpoint. Sifely is not liable for data transmitted to an insecure or misconfigured endpoint.

 

9.3 No SLA. Webhook delivery is provided on a best-effort basis. Sifely does not guarantee delivery timing, order, or completeness.

10. DISCLAIMER OF WARRANTIES

10.1 THE DEVELOPER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

10.2 SIFELY DOES NOT WARRANT THAT THE DEVELOPER SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

 

10.3 SMART LOCK LIMITATIONS. YOU ACKNOWLEDGE THAT SMART LOCK DEVICES AND THE API CANNOT PREVENT OR ELIMINATE THE OCCURRENCE OF EVENTS SUCH AS UNAUTHORIZED ENTRY, BURGLARY, OR OTHER SECURITY INCIDENTS. SIFELY IS NOT AN INSURER AND DOES NOT PROVIDE INSURANCE OR SECURITY MONITORING SERVICES. YOU RELEASE SIFELY FROM ALL LIABILITY FOR LOSSES, DAMAGES, OR INJURIES ARISING FROM EVENTS THAT THE DEVICES OR API ARE DESIGNED TO DETECT OR RESPOND TO.

11. LIMITATION OF LIABILITY

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIFELY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE DEVELOPER SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

 

11.2 SIFELY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE DEVELOPER SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SIFELY FOR THE DEVELOPER SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

11.3 THE LIMITATIONS IN THIS SECTION APPLY EVEN IF SIFELY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sifely and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) Your use of the Developer Services;

  • (b) Your violation of these Developer Terms;

  • (c) Your applications or integrations built using the API;

  • (d) Any claim by a third party (including End Users) related to your products or services;

  • (e) Your violation of any applicable law or regulation.

13. TERM AND TERMINATION

13.1 Term. These Developer Terms are effective upon your first access to the Developer Services and continue until terminated.

 

13.2 Termination by You. You may stop using the Developer Services and cancel your Subscription Plan at any time through the Developer Portal.

 

13.3 Termination by Sifely. Sifely may suspend or terminate your access to the Developer Services at any time, with or without notice, for any reason, including but not limited to:

  • (a) Violation of these Developer Terms;

  • (b) Non-payment of fees;

  • (c) Use of the Developer Plan for commercial purposes;

  • (d) Activity that threatens the security or integrity of the Developer Services.

     

13.4 Effect of Termination. Upon termination:

  • (a) Your API Key is immediately invalidated;

  • (b) All API requests return an error response;

  • (c) Your account data is retained in accordance with Section 8 and the Privacy Policy;

  • (d) Outstanding payment obligations survive termination.

 

13.5 Data Retention. Sifely retains your account data (subscription history, billing records, API Key records, usage data) following termination. To request data deletion, contact cs@sifely.com.

14. MODIFICATIONS

Sifely may update these Developer Terms at any time by posting the revised version on the Developer Portal. Material changes will be communicated via email to the address associated with your Account. Your continued use of the Developer Services after the effective date of any modification constitutes your acceptance of the updated terms.

15. DISPUTE RESOLUTION AND ARBITRATION

Disputes arising out of or relating to these Developer Terms or the Developer Services are subject to the dispute resolution and arbitration provisions set forth in Section 17 of the Sifely Terms of Use, which are incorporated herein by reference. This includes binding arbitration, a class action waiver, and a jury trial waiver.

16. GOVERNING LAW

These Developer Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, and the Federal Arbitration Act, as applicable.
